Founder-drafted starting point under legal review. The substantive terms (subscription pricing, anti-circumvention, dispute resolution) are accurate as of the date above. Final framing will be reviewed by counsel before launch.
1. Acceptance
These Terms of Service ("Terms") govern your access to and use of the Vendor Hub platform operated by Vendor Hub LLC ("Vendor Hub," "we," "us," "our"), a Tennessee limited liability company.
By creating an account, accessing, or using the Vendor Hub platform at getvendorhub.com or any subdomain, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the platform.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. The terms "you" and "your" refer to both the individual user and any entity on whose behalf the user is acting.
2. Eligibility and account registration
You must be at least 18 years old and a resident of the United States to use Vendor Hub. By registering, you represent that:
- You are at least 18 years old
- You are a resident of the United States
- You have the legal capacity to enter into these Terms
- All information you provide is accurate and current
- You will keep your account credentials confidential and notify us immediately of any unauthorized use
You are responsible for all activity that occurs under your account.
Fraud, fake accounts, and identity misrepresentation. We reserve the right to suspend, restrict, or terminate any account at our sole discretion if we have reason to believe that the account is fake, has been created with false identity information, is being used to circumvent these Terms, or is involved in fraud or abuse. We may also withhold any subscription refund in connection with such suspension or termination.
Authentication requirements. We may require multi-factor authentication (MFA), a minimum password complexity, account lockout after failed sign-in attempts, or other authentication controls — at any time, for any account tier, with or without prior notice — to protect the platform and its users. Continued use of the platform after such a requirement takes effect constitutes acceptance.
3. The Vendor Hub platform
Vendor Hub is a marketplace and software platform that connects members with vendors providing services. Members can browse vendor profiles, request quotes, message vendors, accept proposals, schedule work, and leave reviews. Vendors can list services, respond to quote requests, message members, and respond to reviews.
Vendor Hub is a software-as-a-service platform; it is not a party to the underlying service contract between members and vendors, does not employ or supervise vendors, does not collect or hold funds for the underlying services, and does not process payments between member and vendor. Each member–vendor engagement is a direct contract between those parties.
4. Subscription plans and billing
Vendor Hub is a subscription product. Both members and vendors choose a subscription tier in order to access the platform's tools. Pricing is published at getvendorhub.com/compare-plans and may be updated from time to time with at least 30 days' notice for existing subscribers.
Member tiers (current):
- Standard — $18/month or $162/year
- Pro — $36/month or $324/year
- Premium — $79/month or $711/year
- Premium Team — $225/month or $2,025/year (up to 5 users)
- Enterprise — custom pricing
Vendor tiers (current):
- Free — $0/month
- Growth — $39/month or $351/year
- Spotlight — $129/month or $1,161/year
No platform fees, no transaction fees. Vendor Hub does not charge a commission, platform fee, or transaction fee on the work members and vendors do together. Vendors keep one hundred percent of what they charge their clients.
Annual billing. Any monthly tier paid annually is billed at the monthly rate multiplied by nine (three months free). Annual subscriptions renew automatically at the then-current annual price unless canceled before renewal.
Subscriptions are billed in advance via our payment processor and renew automatically until canceled. You may cancel at any time from your account profile page; cancellation takes effect at the end of the current billing period.
Refund policy. Subscription fees are non-refundable except where required by law or as expressly provided here. You may request a refund of your most recent subscription charge by emailing support@getvendorhub.com within 7 days of that charge; refunds are issued at our sole discretion.
Failed payments. If a subscription payment fails, our payment processor will retry per its default retry schedule (typically up to four attempts over two weeks). Accounts with continued payment failure will move to a reduced-access status until payment is restored, after which the account may be suspended.
5. Vendor representations and obligations
By offering services on Vendor Hub, vendors represent that:
- They are legally authorized to provide the services they list
- They hold all licenses, certifications, and insurance required by applicable law for the services they offer (Vendor Hub does not independently verify these — they are self-attested by the vendor)
- They will perform services in a professional manner consistent with industry standards
- They will respond to member inquiries and quote requests in a reasonable time frame
- They will not list services they cannot or will not actually deliver
- The information they provide on their profile is accurate
Vendors are independent contractors, not employees, agents, or partners of Vendor Hub. Vendors retain full ownership of their work product unless a separate agreement with the member states otherwise. Vendors set their own prices, accept or decline work at their discretion, use their own tools and methods, and are solely responsible for any contractual or warranty obligations to the member.
6. Member representations
By using Vendor Hub as a member, you represent that:
- Information you provide in quote requests is accurate and made in good faith
- You will not submit quote requests for services you have no intention of purchasing
- You will pay the vendor directly for any services you accept (Vendor Hub does not process payment between you and the vendor)
- Reviews you post will be truthful and based on your actual experience with the vendor
7. Acceptable use and anti-circumvention
Vendor Hub provides the tools, directory, messaging, scheduling, and reputation systems that make member–vendor engagement work. The following provisions protect those systems and the experience of other users.
Off-platform contact-sharing during the introduction window. To protect both members and vendors during the initial engagement, Vendor Hub may mask phone numbers, email addresses, and references to off-platform payment apps in messages exchanged before a member and vendor have completed their first engagement on the platform. Vendors and members agree to use the in-platform messaging system for pre-engagement coordination.
Shadow accounts and circumvention of subscription billing. Creating multiple accounts to evade subscription billing, abuse free-tier benefits, or extend trial / promotional pricing beyond its intended scope is a breach of these Terms.
Use of member or vendor contact information. Member or vendor information accessed through the platform may be used only for the purpose of pursuing a Vendor Hub engagement. Harvesting, scraping, or copying user data for use in another platform, mailing list, sales pipeline, or product is prohibited.
Reviews integrity. Manipulating reviews — including soliciting reviews in exchange for compensation, posting reviews from sock-puppet accounts, or coercing a member into a positive review — is prohibited.
Automated scanning and admin review. Vendor Hub uses automated scanning of in-platform messages and account-level signals to detect violations. Flagged content may be surfaced to administrators for review. The privacy and operational details of this scanning are described in our Privacy Policy (Section 5).
Remedies. If you violate this Section, Vendor Hub may, in any combination at its sole discretion: issue a warning; suspend or restrict your account; terminate your account without refund of subscription fees; remove your public profile and any earned badges, ratings, or placement status; report the conduct to law enforcement or another platform where appropriate. Our enforcement is graduated where appropriate but reserved for case-by-case determination.
8. Reviews and ratings
Members may post reviews of vendors after completing an engagement coordinated through Vendor Hub. Reviews must be truthful, based on actual experience, and free of:
- Defamatory, threatening, or harassing language
- Profanity, slurs, or hateful content
- Personal information about the vendor (home address, family members, etc.)
- Confidential business information
- Promotional content for any third party
Vendors may publicly respond to reviews. Disputed reviews go through our internal review process; Vendor Hub's decision on disputes is final.
We reserve the right to remove reviews that violate these Terms or our Community Guidelines.
9. Intellectual property
Vendor Hub IP. The Vendor Hub platform, including all design, code, branding, logos, and content created by us, is owned by Vendor Hub LLC and protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the platform consistent with these Terms.
User content. You retain ownership of content you upload (vendor profile photos, work samples, messages, RFP attachments, reviews). By uploading, you grant Vendor Hub a worldwide, royalty-free, non-exclusive license to use, reproduce, display, and distribute that content as needed to operate the platform. This license terminates when you delete the content or close your account, except for content already shared with other users (e.g., a vendor proposal sent to a member) and for our archival logs as described in our Privacy Policy.
Aggregated insights. As permitted by our Privacy Policy (Section 4), Vendor Hub may use aggregated, anonymized data derived from user activity — including bid amounts, RFP scope, transaction patterns, and platform usage — to generate market insights. These outputs do not identify individual users or vendors and may be published, sold, or used as the basis of a paid feature.
Feedback. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use it without obligation.
10. Termination
You may close your account at any time from your profile page. We may suspend or terminate your account if:
- You materially breach these Terms
- We're required to do so by law
- Your account has been inactive for more than 24 months
- We discontinue the service (we'll give 60 days' notice)
- We have reason to believe your account is fake, fraudulent, or being used for abuse (see Section 2)
On termination, we delete your data per the retention schedule in our Privacy Policy. Outstanding subscription periods will conclude per the billing cycle (no prorated refunds except as expressly provided in Section 4 or required by law).
11. Disclaimer of warranties
THE VENDOR HUB PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- THE RESULTS OBTAINED FROM USING THE PLATFORM WILL BE ACCURATE OR RELIABLE
- ANY VENDOR LISTED ON THE PLATFORM WILL PERFORM SERVICES AS PROMISED, WILL HOLD VALID LICENSES OR INSURANCE, OR HAS BEEN INDEPENDENTLY VERIFIED BY VENDOR HUB
- ANY MEMBER POSTING A QUOTE REQUEST WILL ACCEPT A PROPOSAL OR PAY FOR SERVICES
- AUTOMATED FRAUD DETECTION OR RISK SCORING WILL CATCH ALL BAD ACTORS
VENDOR HUB IS A SOFTWARE PLATFORM OPERATOR, NOT A PARTY TO THE UNDERLYING SERVICE CONTRACT BETWEEN MEMBER AND VENDOR. WE DO NOT GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF ANY VENDOR'S SERVICES, NOR THE TRUTHFULNESS OR ACCURACY OF VENDOR LISTINGS. VENDOR INFORMATION (INCLUDING LICENSE AND INSURANCE) IS SELF-ATTESTED AND NOT INDEPENDENTLY VERIFIED.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL VENDOR HUB, ITS OFFICERS, MEMBERS, EMPLOYEES, OR AFFILIATES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL) ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VENDOR HUB IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN WARRANTIES OR DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify, defend, and hold harmless Vendor Hub LLC, its officers, members, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the platform
- Your breach of these Terms
- Your violation of any applicable law
- Your infringement of any third party's rights
- Any dispute between you and another user (vendor or member), including any claim arising from work performed, payment owed, property damage, or personal injury in connection with an engagement coordinated through Vendor Hub
14. Mandatory binding arbitration and class action waiver
Please read this Section carefully — it affects your legal rights.
Agreement to arbitrate. Except for claims that may be brought in small-claims court and except for claims for injunctive relief related to intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or the platform — including any claim of fraud, misrepresentation, or breach — will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules then in effect. The arbitration will be conducted in Davidson County, Tennessee, or via remote hearing at the arbitrator's discretion.
Class action waiver. You and Vendor Hub each agree to bring any claims only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
Opt-out. You may opt out of this Section by sending written notice to legal@getvendorhub.com within 30 days of first accepting these Terms. Opt-out notices must include your account email and a clear statement that you opt out of arbitration. Opting out does not affect any other portion of these Terms.
Severability. If the class action waiver is held unenforceable in a particular case, that case will proceed in court in Davidson County, Tennessee, but the remainder of this arbitration provision will remain in effect.
15. Dispute resolution and governing law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.
To the extent any dispute is not subject to arbitration under Section 14 (or you have validly opted out), that dispute will be resolved exclusively in the state or federal courts located in Davidson County, Tennessee, and you consent to the personal jurisdiction of those courts.
16. Changes to these Terms
We may update these Terms as our practices change. Material changes will be communicated by email to your registered email address at least 30 days before taking effect, and we will post a banner on the platform highlighting the change.
Continued use of the platform after the effective date of an updated Terms constitutes acceptance of the change. If you do not agree to the change, your remedy is to stop using the platform and close your account.
17. Miscellaneous
Severability. If any provision of these Terms is held unenforceable, the rest will remain in full force and effect.
Waiver. Our failure to enforce any provision is not a waiver of that provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to a successor entity in connection with a corporate transaction.
Entire agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Vendor Hub regarding the platform.
No partnership. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and Vendor Hub.
Force majeure. Neither party is liable for failures or delays caused by events beyond reasonable control (including natural disasters, war, civil disorder, pandemics, internet outages, or third-party service disruptions).
